Jawahar Goel has been reappointed the Managing Director of DTH company Dish TV from April 1, 2022 to March 31, 2025 (both days inclusive), the company has said. He would also remain Chairman of the Board, according to regulatory filings.
The company also announced that as per decisions taken by the company’s Nomination and Remuneration Committee on Friday, the re-appointment of Anil Kumar Dua as the whole-time director of the company from March 26, 2022 to March 25, 2025 (both days inclusive) was approved as per the applicable provisions of Companies Act, 2013 and markets regulator SEBI guidelines.
Goel’s appointment is subject to the approval of the shareholders, the company said, adding, “We wish to inform that Mr. Jawahar Lal Goel and Mr. Anil Kumar Dua has not been debarred from holding the office of Director by virtue of any SEBI order or any other authority.”
As per SEBI regulations, the top 500 listed entities need to ensure that the Chairperson of a company is a non-executive director and is not related to the MD or CEO with effect from April 1, 2020.
Goel, an industry veteran, has been actively involved in the creation and expansion of Dish TV and has been a pioneer of the direct-to-home (DTH) services in India.
He also led the initiatives of the Indian Broadcasting Foundation (rechristened in 2021 as Indian Broadcasting & Digital Foundation) as its president from September 2006 to September 2010.
Goel has been on the board of various committees and task forces set up by the Ministry of Information & Broadcasting (MIB) and continues to address several critical matters related to the industry on various forums.
Dish TV is presently locked in a legal tussle with some of its shareholders, including Yes Bank, which holds a shade over 25 percent stake in the company.
In its regulatory filing on Friday, Dish TV also submitted that a company meeting considered the appointment of Rakesh Mohan as an Additional Director in the category of Non-Executive Independent Director of the company and advised the management to file the necessary application with the Ministry of Information and Broadcasting for obtaining prior approval as required under the uplinking guidelines.
